Irisity Websites – Terms of Use

Welcome to the Irisity websites provided by Irisity AB (publ) and its subsidiaries (collectively referred to as “Irisity”). We appreciate your interest in our offerings and hope you find our website, partner portal, and services useful.

Scope and Acceptance of Terms

These Terms of Use govern your access and use of Irisity’s websites and Irisity Partner Portals. By “Sites,” we refer to any and all websites accessible directly via www.irisity.com. By “Portal,” we refer to the Irisity Partner Portal available to authorized channel partners. By accessing or using the Sites or Portal you agree to these Terms as a condition of use as well as any additional guidelines, rules, or terms posted on the Portal. If you do not agree, please refrain from using the Sites or Portal.

Irisity reserves the right to update or modify these Terms of Use at any time without prior notice. Your continued use of the Portal after any such changes indicates your acceptance of the updated Terms of Use.

Privacy Policy

When you visit our Sites or Portal, you may have various ways to contact Irisity and may be asked to provide personal data. If you choose to do so, Irisity will process your personal data in accordance with our Privacy Policy, which outlines your privacy rights and how we manage your data. Irisity also uses cookies to enhance your experience, understand site usage, and tailor advertising.

Use of the Sites and Portal

The Sites serve as a platform for learning about Irisity’s products and services. The Portal is provided exclusively for authorized channel partners. Our products and services are governed by separate agreements. By using the Sites or Portal, you agree not to:

  • Use the Sites or Portal in any manner that could disrupt, damage, or impair its functionality or interfere with another party’s use of the Sites or Portal.
  • Use the Sites or Portal in any manner that could violates laws or infringes on others’ rights.
  • Interfere with the functioning of the Sites, Portal, or compromise their security.

User Accounts and Login

Certain sections of the Sites and Portal require account registration. To create an account, you must:

  • Be at least 18 years old.
  • Provide accurate and up-to-date personal information.
  • Maintain the confidentiality of your login credentials.

Your account is for business use in accordance with its intended purpose. You may not share login credentials, and you are responsible for any activity occurring under your account. If you suspect unauthorized access, notify Irisity immediately.

The Portal is intended solely for the use of authorized channel partners of Irisity, including those of its subsidiaries. By accessing or using the portal you represent and warrant that you are an authorized user with a valid channel partner agreement and that you have the legal authority to enter into these Terms of Use on behalf of the entity you represent.

Intellectual Property

The Sites and the content provided is the intellectual property and copyrighted works of Irisity or third-parties, including its partners. You acknowledge that you have no rights, title, or interest in or to the Sites or the Portal, except as expressly provided in these Terms of Use.

You shall assume that everything you see or read on the Sites is protected by copyright or trademark, unless otherwise indicated. No content on the Sites may be interpreted as granting you any kind of license or right to Milestone, or third-party trademarks, copyrights or other intellectual property rights.

As a authorized channel partner, Irisity grants you a limited, non-exclusive, non-transferable right to access and use the Portal in accordance with these Terms of Use. This right does not permit you to copy, distribute, modify, or create derivative works based on the Portal or its content without Irisity’s prior written consent.

Confidentiality – Irisity Partner Portal

You acknowledge that certain information made available through the Portal may be confidential or proprietary to Irisity. You agree to maintain the confidentiality of such information and not to disclose it to any third party without Irisity’s prior written consent.

For the purposes of these Terms of Use, “Confidential Information” shall mean all information disclosed to you through the Portal that is either marked as confidential or that would reasonably be understood to be confidential. Confidential Information includes, but is not limited to, Irisity software, cloud services, maintenance service, other services, the program guides and in each case other related documentation and pricing information.

You agree to:

  1. Maintain the confidentiality of all Confidential Information and protect it with the same degree of care that you use to protect your own confidential and proprietary information, but in no event less than a reasonable standard of care.
  2. Use the Confidential Information solely for the purpose of fulfilling your obligations as a channel partner of Irisity and in accordance with these Terms of Use.
  3. Not disclose or permit the disclosure of any Confidential Information to any third party, except to your employees, agents, or contractors who need to know such information for the purpose of fulfilling your obligations to Irisity and who are bound by confidentiality obligations at least as restrictive as those set forth herein.
  4. Immediately notify Irisity in writing of any unauthorized use or disclosure of Confidential Information of which you become aware, and cooperate with Irisity in any reasonable way to help regain possession of such Confidential Information and prevent its further unauthorized use or disclosure.

The confidentiality obligations set forth herein shall not apply to information that:

  1. Was already known to you without an obligation of confidentiality at the time of disclosure by Irisity, as evidenced by your written records.
  2. Becomes publicly known through no act or omission by you, or any person under your control, in breach of these Terms of Use.
  3. Is lawfully received from a third party without breach of any confidentiality obligation owed to Irisity.
  4. Is independently developed by you without use of or reference to the Confidential Information, as evidenced by your written records.

In the event that you are required by law, regulation, or legal process (such as a subpoena or court order) to disclose any Confidential Information, you shall:

  1. Provide Irisity with prompt written notice of such requirement, to the extent legally permissible, to enable Irisity to seek an appropriate protective order or other remedy.
  2. Disclose only that portion of the Confidential Information that you are legally required to disclose, and use reasonable efforts to obtain assurances that such information will be treated confidentially.

Upon termination of your access to the Portal, or at any time upon Irisity’s request, you agree to promptly return or destroy all copies of Confidential Information in your possession or control. If requested by Irisity, you shall certify in writing that all such Confidential Information has been returned or destroyed.

The confidentiality obligations set forth in this clause shall survive the termination or expiration of these Terms of Use.

Disclaimer of Warranties

Use of the Sites and Portal is at your own risk.

The Sites and Portal and all its content are provided on an “as is” and “as available” basis. Irisity makes no warranties, express or implied, regarding the Portal, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Irisity does not accept any responsibility or liability for the accuracy, content, completeness, legality, or reliability of the information contained on this website.

Limitation of Liability

To the fullest extent permitted by law, Irisity shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Site or Portal, even if Irisity has been advised of the possibility of such damages.

Export Regulations

You must not grant access to and must ensure that none of your representatives grants access to the Portal and the Confidential Information to any person if such person is subject to embargos, trade sanctions or other restrictive measures of any applicable export law, including, without limitation, if such person is listed on any sanctioned party list of the US, the EU and/or any of its member states.

Governing Law and Jurisdiction

These Terms of Use are governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms of Use shall be subject to the exclusive jurisdiction of the courts of Sweden.
